Partnership agreement

PARTNERSHIP AGREEMENT (CPC) - version CPC-2.0

1. PARTIES. This agreement is between MB „Variantai" (company code 306133252), operator of the Konfiguratorius / Konfiguraator price-comparison and PC-builder platform (the Platform), and the merchant submitting the application (the Partner).

2. SERVICE. The Platform lists the Partner's product offers (name, price, stock) and refers shoppers to the Partner's online store. Offers are refreshed from the product feed the Partner provides. The Platform does not sell the Partner's goods and is not a party to any sale. The Partner may list components (parts), prebuilt computers, or both, and may change this at any time.

3. PRICING (CPC). The Partner pays per billable click. Standard rates: €0.15 per billable click on a part, €0.70 per billable click on a prebuilt computer (exclusive of VAT). A click is billable only when it: comes from a genuine page of the Platform; is not from a bot, crawler or monitoring; is the shopper's first click on that listing within 24 hours; and is within the anti-abuse cap of 10 clicks per shopper, per store account, per 24 hours. Other clicks still redirect but are not charged. The rate applied to the Partner is confirmed on approval and shown in the Partner console; early partners may qualify for exclusive rates by separate agreement.

4. BILLING. On the first day of each month the Platform issues an invoice for the billable clicks accrued in the previous month, sent to the Partner's invoicing email. Payment term: 7 days, in EUR.

5. VAT. All amounts are exclusive of VAT. Invoices are subject to Lithuanian VAT at 21% where applicable; Lithuanian VAT does not apply where the Partner is itself a VAT payer, in which case the reverse-charge mechanism applies.

6. FEED AND CONTENT LICENCE. The Partner provides a product feed and grants the Platform a non-exclusive, royalty-free licence, for the term of this agreement, to use, cache and display the Partner's name, logo, product data and images in order to list the offers and refer shoppers. The Partner warrants that it holds the rights to this content, that the data is accurate, and that its products and store comply with applicable law.

7. DATA. Feed data is used only to display offers and is not passed to third parties beyond public display on the Platform. Each party is an independent controller of the personal data it processes; the Platform measures clicks using only a non-reversible hashed IP address and shares no identifying shopper data with the Partner. Personal data is processed in accordance with the GDPR (2016/679).

8. QUALITY. The Partner keeps the feed reachable and refreshed at least daily, with prices matching its store. The Platform may pause offers if the feed becomes unreachable, stale or incorrect.

9. TERMINATION. Either party may terminate on 14 days' written notice by email. Accrued amounts remain payable; on termination the Platform delists the Partner's offers.

10. LIABILITY AND LAW. The Platform is provided on a reasonable-efforts basis, without warranty of traffic, sales or uninterrupted availability; neither party is liable for indirect or consequential loss. This agreement is governed by the law of the Republic of Lithuania, and disputes are resolved by negotiation and, failing that, by the competent courts.

11. ACCEPTANCE. By submitting the application and ticking the consent box, the Partner's representative confirms authority to conclude this agreement on the Partner's behalf and acceptance of these terms.
